EVOAQ Trade Accounts
These Trade Account Terms and Conditions apply to trade accounts offered by EvolutionFX Limited, the parent company of EVOAQ (referred to as “EvolutionFX”, “we”, “us” or “our”).
By applying for or using an EVOAQ Trade Account, the applicant or account holder (“you” or “your”) agrees to these terms, together with any account-specific pricing, credit arrangements or other conditions confirmed in writing by EvolutionFX.

1. Trade Account Applications and Approval
All trade account applications are subject to assessment and approval by EvolutionFX. Submission of an application does not guarantee approval.
EvolutionFX reserves the right to approve or decline an application and may request additional information to assess the applicant’s business, trading history and creditworthiness.
Trade accounts are registered in the name of the approved business or customer. The account holder is responsible for ensuring that the information provided is accurate and kept up to date.
Approval for a trade account does not automatically entitle the account holder to credit facilities. Trade pricing, ordering privileges and credit facilities may be approved separately.
2. Trade Pricing
Approved trade customers may receive preferential pricing on eligible products. Pricing arrangements may vary depending on the customer, products purchased, order quantities and any individually agreed terms.
Applicable trade pricing will be communicated or made available to the account holder through the agreed ordering process. Trade pricing is subject to change. Any special pricing, quotations or agreed pricing arrangements will be subject to their stated validity period and conditions.
Unless otherwise agreed in writing, all prices are in New Zealand dollars and are subject to applicable GST and delivery charges.
3. Ordering and Account Purchases
Approved trade customers may place orders directly with EvolutionFX rather than ordering and paying through the online store.
Customers with approved credit facilities may charge eligible purchases to their trade account, subject to their approved credit limit and account status.
Customers without approved credit facilities, or whose credit facilities have been suspended or exhausted, may be required to pay upfront before their orders are processed.
Orders are subject to product availability, confirmation of pricing and acceptance by EvolutionFX. An enquiry, quotation or order request does not constitute acceptance of an order.
Customers are responsible for checking their order details, including product selection, quantities, specifications, delivery information and any agreed custom requirements.
4. Payment Terms
Customers without approved credit terms must pay for their orders in accordance with the payment requirements advised by EvolutionFX.
Unless alternative terms have been agreed in writing, purchases made by customers with approved credit terms are payable by the 20th day of the month following the invoice date. The account holder is responsible for ensuring invoices are paid in full by their due dates, regardless of any internal purchasing or payment approval processes.
Orders are invoiced within the month that it was shipped or collected, except in special cases where prior arrangement has been made in writing and confirmed and agreed upon by EvolutionFX.
Any invoice discrepancies or queries should be raised with EvolutionFX promptly. Raising a query does not automatically suspend the obligation to pay undisputed amounts by their due dates.
If an account becomes overdue, EvolutionFX may contact the account holder to arrange payment and may suspend further credit purchases or require payment upfront until the account is brought up to date.
Where permitted by law, EvolutionFX may seek recovery of overdue amounts and reasonable recovery costs. Any interest or additional charges will only be applied where there is an applicable contractual or legal basis for doing so.
5. Credit Limits and Credit Reviews
Credit facilities are subject to individual assessment. Approved credit limits may differ between customers and will be confirmed separately.
The account holder must not exceed their approved credit limit without prior written approval from EvolutionFX.
EvolutionFX may periodically review an account’s credit limit and payment terms, taking into consideration payment history, outstanding balances, trading activity and other relevant factors. EvolutionFX may amend, reduce, suspend or withdraw credit facilities where reasonably necessary, including where payment obligations are not met or there is a material change in the account holder’s creditworthiness.
Where practicable, EvolutionFX will notify the account holder of changes to their credit facilities before those changes take effect.
6. Bulk Orders and Custom Products
Trade customers may request bulk quantities, special orders and custom products or configurations that are not available through the online store. Such requests are subject to assessment and acceptance by EvolutionFX. Availability, pricing, minimum order quantities, manufacturing requirements and lead times will be confirmed separately.
Once a custom or special order has been accepted, cancellation or modification may be subject to additional costs or restrictions, particularly where materials have been purchased or work has commenced.
Custom products and special orders may require a deposit or payment in advance, as agreed before the order is accepted.
Any agreed specifications, drawings or other requirements for custom products should be confirmed in writing before the order proceeds. It is the customer’s responsibility to ensure the product details are correct and suitable for their requirements before confirming the order.
7. Quotations, Delivery and Availability
Quotations are subject to the validity period and conditions stated in the quotation. If no validity period is specified, EvolutionFX may confirm or revise the quotation before accepting the order.
Delivery charges, estimated lead times and delivery arrangements will be confirmed as applicable to each order.
Any delivery dates provided are estimates unless a specific date has been expressly agreed in writing.
EvolutionFX will advise the account holder of material changes to an accepted order where reasonably practicable.
8. Returns, Warranty and Product Issues
Products purchased through a trade account remain subject to the applicable EVOAQ returns policy, warranty policy and any product-specific conditions.
Faults, damage, shortages or incorrect products should be reported to EvolutionFX as soon as reasonably practicable, with relevant order details and supporting information.
Returns must be authorised in accordance with the applicable returns policy. Custom-made products and special orders may be subject to additional restrictions, subject to applicable law.
Nothing in these terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded, restricted or modified.
9. Account Security and Responsibilities
The account holder is responsible for the security of its account credentials and for ensuring that only authorised persons place orders or make account-related requests on its behalf. The account holder must notify EvolutionFX promptly if it suspects unauthorised account access, fraudulent ordering or misuse of its account.
The account holder must notify EvolutionFX of material changes to its business details, ownership, contact information or financial circumstances that may affect its account.
EvolutionFX may request updated information or supporting documentation when reviewing an account.
10. Suspension and Closure of Trade Accounts
EvolutionFX may suspend or close a trade account where there are reasonable grounds to do so, including overdue payments, misuse of the account, materially inaccurate application information, insolvency concerns or a breach of these terms. Where practicable, EvolutionFX will provide notice of a suspension or closure and an opportunity to resolve the issue, where appropriate.
Closure or suspension of an account does not cancel outstanding payment obligations. All amounts properly due remain payable in accordance with their applicable terms.
EvolutionFX may also close inactive account, giving reasonable notice where practicable. An account may be considered inactive when no order or quotation activity has occurred for more than 2 consecutive years. Inactive trade accounts may be reopened upon request by the account holder. EvolutionFX may request updated information or supporting documentation when reviewing re-opening of an inactive account.
11. Privacy and Account Information
Information supplied in connection with a trade account will be used for account assessment, administration, order processing, customer service, credit management and other legitimate business purposes.
EvolutionFX will handle personal information in accordance with applicable New Zealand privacy law and its applicable privacy policy.
Where credit checks or information sharing are required, EvolutionFX will obtain any necessary authorisations and handle the relevant information in accordance with applicable law.
12. Relationship with Other Terms and Conditions
These Trade Account Terms and Conditions apply in addition to the standard EVOAQ Website Terms and Conditions and the applicable Warranty Policy.
Where a specific written agreement or quotation contains additional terms for a particular order, those terms will apply to the extent agreed and relevant to that order.
If there is an inconsistency between these trade terms and the standard website terms concerning trade account pricing, credit facilities or payment arrangements, the applicable trade account terms or specific written agreement will prevail to the extent of that inconsistency.
Nothing in these terms is intended to exclude any rights or obligations imposed by law.
13. Changes to These Terms
We reserve the right to amend, update, or replace any part of these Terms and Conditions, including our policies, at any time and without prior notice. Any changes will take effect immediately upon being posted to this Website. It is the trade account holder’s responsibility to check this page periodically for updates. Continued use of our services following the posting of any changes constitutes acceptance of those modifications.
Where a change materially affects existing trade account arrangements, EvolutionFX will provide reasonable notice where practicable.
Changes to an individual customer’s pricing, credit limit or payment arrangements may be communicated separately in writing.
14. Governing Law
These terms are governed by the laws of New Zealand. Any disputes will be dealt with by the appropriate New Zealand courts or other competent forums, subject to applicable law.
